REASONS FOR ACTIVITY
- The
Conference Board reported that the Consumer
Confidence Index eased to 138.8 in June,
a 6 points drop from the May figures, but
higher than the April numbers. Consumers
feel the economy is weakening and will continue
to weaken, and most surveyed have postponed
spending on big ticket items like automobiles.
This news made more analysts confident that
the Federal Reserve will not announce a

- The
US Department of Justice (DOJ) has filed
suit to block the merger of Worldcom and
Sprint on the grounds that, the merger of
the #2 and #3 telephone companies will cause
higher costs to consumers. Immediately after
the DOJ announcement, Worldcom and Sprint
filed papers with the European Commission
withdrawing their merger proposal, claiming
the DOJ is against it. Separately, CS First

- Kaplan,
the Test Preparation and educational products
unit of the Washington Post Company is paying
$165 million for Quest Education, an Atlanta
based Degree granting institution.
- AOL
is in a deal with Intertrust, the Digital
Rights Management (DRM) software developer
for secure music downloads. AOL is paving
way for its online music marketing.
- IPOs
were hot today. Marvell Technology closed
over 277% above its offering price, Stratos
Lightwave closed 62% above its offering
price, while Click Commerce closed more
than 76% above its offering price
- Media
Metrix, an Internet audience measuring company,
is paying $414 million for Jupiter Communications,
an e-commerce researcher.
- Dell
and Microsoft's MSN Network are to create
a portal called DellNet by MSN. DellNet
will market Dell Computer products and will
allow consumers to also sign up for Internet
Access with MSN too.
- Merrill
Lynch cut its fiscal Q4 revenue forecast
for IBM by $420 million.
- Corel
Corp. announced that its graphics software
will be bundled with Hewlett Packard's ScanJet
4300C scanner series. Corel gained over
21%.
- UBS
Warburg has initiated coverage with a "buy"
recommendation for PMI Group.
- New
England Business Service received a fast
track anti-trust clearance from the FTC.
- AFTER
CLOSE: 3Com reported fiscal Q4 losses that
were 2 cents a share less than First Call
consensus.
- AFTER
CLOSE: General Mills reported fiscal Q4
earnings that beat First Call estimates
by One cent a share.
- AFTER
CLOSE: Great Plains Software reported fiscal
Q4 earnings that beat First Call estimates
by 2 cents a share.

- The
US Existing Homes Sales for May rose an
unexpected 4.3% to 5.09 million units. In
April, existing homes sales dropped 6.2%
to 4.88 million units. Analysts are worried
that the Federal Reserve will have to take
action to tame this growth. Most analysts
expect the decision to come not in tomorrow's

- Aerie
Networks, a broadband fiber-optic network
company, signed a 4-year $1 billion deal
with Corning for 8.9 million miles of fiber-optic
lines. Corning gained 20 3/16 to close at
260 3/16.
- Power-One,
a power outage and surge protection company,
gained 9 3/8 after Stephens inc. raised
its price target to $150 per share, and
reiterated its "buy" recommendation.
An influential panelist on "Wall Street
Week with Louis Rukeyser" also had
positive comments on Power-One last Friday.
- AT&T's
fiscal 2000 earnings were downgraded 7 cents
a share by Salomon Smith Barney.
- The
FCC has approved the merger of Qwest Communications
International and US West.
- Motorola
was downgraded by Lehman Brothers.
- Philip
Morris is paying $15 billion and assuming
$4 billion in debts (a total value of $55/share)
to acquire Nabisco Holdings. Nabisco Holdings
closed up at $52 3/4 a share.
- Yahoo!
announced that it is dropping Inktomi's
web search engine on its general search
in favor upstart Google after its contract
with Inktomi expire July 1. Corporate Yahoo!,
Yahoo1's information systems portal, will
continue to use Inktomi. Inktomi stated
that its acquisition of Ultraseek search
and other deals will compensate for the
Yahoo! lost, which accounted for 10% of
its services. In a separate development,
Corporate Yahoo! announced that it will
start selling Citrix Systems' Nfuse Technology.
Both Yahoo! and Inktomi lost.
- Amazon.Com
got some good news today. JP Morgan reiterated
its "strong buy" recommendation
for the stock, while Goldman Sachs reiterated
its "buy" recommendation.
- Tyco
International has agreed to restate some
of its acquisition charges to satisfy the
Securities and Exchange Commission (SEC).
An analyst accused Tyco in October of last
year for manipulating the books to show
profits even after an expensive acquisition.

Biotechnology company Sereno SA received
the FDA approval to use Bioject Medical

- PE
Corp-Celera Genomics lost 13 points even
after announcing the assembly of a full

- Amazon.Com
lost 19% value today after Ravi Suria, an
influential analyst with Lehman Brothers
released some research notes that considered
Amazon's credit to be "extremely weak
and deteriorating". Amazon and Internet
related stocks suffered due to the general
panic about the comments.
- Rambus
is still gaining (even in after hours trading)
due to its settlement with Hitachi, and
the prospects of a mountain of Technology
licenses from other DRAM chip makers. Many
analysts think this is an overplay. Post

- The
Shareholders of AOL and Time-Warner overwhelmingly
approved the $123 billion merger. US government
and European regulators now need to approve
the deal to make it official.
- ConAgra
is paying $1.6 billion for International
Home Foods.
- Bear
Sterns Merchant Banking and Hicks, Muse,
Tate & Furst inc. are paying $2.4 billion
to acquire Johns Manville Corp, a building
products maker.
- Kroger
Company, the US' leading grocery chain,
changed its mind about acquiring 74 Winn
Dixie stores in Texas and Oklahoma. The
Federal Trade Commission was against the
acquisition and withheld approval.
- DrKoop.Com
gained over 56% after it announced an investment
in the works valued at $1.5 million from
a merchant bank. The bank will also serve
as its financial advisor. Dr. C. Everett
Koop, the former Surgeon-General and namesake
of the company, also extended his content
contract with the company.
- IPOs
were hot today. Accelerated Networks, a
broadband networks player, closed 220% above
its IPO debut price. Charles River Laboratories
closed 37% above its IPO debut price. Manufacturer's
Services, a contract Electronics manufacturer
(CEM), closed over 25% above IPO price,
while Qualstar, a magnetic tapes library
company, closed over 14% above IPO price.
- Micron
Tech continues to gain after posting stellar
fiscal Q3 earnings. Micron Tech was also
upgraded by Needham & Co.
- Solutia
was upgraded by Salomon Smith Barney.

with a "strong buy" recommendation.
- General
Magic and IBM are intergrating their voice

- Lehman

lost over 11 points based on an analyst's

- Salomon
Smith Barney intiated coverage of Universal

a software company, gained 50% after it
reported that its fiscal Q1 revenues jumped

13% after the US Patent & Trademark
office announced its intention to reissue
one of its prime patents.
- The
9th. Circuit Court of Appeals ruled that
AT&T, the largest Telephone and Cable
operator, cannot be obliged to open up its
Broadband high speed internet access to
competitors.
- AFTER
CLOSE: Micron Tech, which closed lower due
to analysts' worries about its earnings,
announced fiscal Q3 earnings that beat estimates

and Sprint's merger is being rejected by
the European Union Competition Commission,

has substantial holdings in Europe.
- Cepheid,
a DNA and RNA testing equipment maker, closed
over 48% above IPO debut price.
- Hanspring,
a rival to Palm's handheld devices, closed
34% above IPO debut price.
- China
Unicom, the second largest telephone carrier
in China, closed 11% above IPO debut price.
- Individual
Investor Group, a financial media group,
has hired investment bankers The Jordan,
Edmiston Group to explore its options, including
a sale of the group. Individual Investor
has been ailing for a while.
- TheMarker.Com,
an Israeli financial portal, reported that
Converse Technology is paying up to $650
million for eXaLink, an Israeli company
that makes gateway equipment for cellular
networks.
- Akamai
Technologies was upgraded by Chase H&Q.
Akamai gained about 23%.
- Newmont
Mining, North America's largest Gold mining
company, is paying $555 million for Battle
Mountain Gold.
- Renowned
Investor Mario Gabelli announced that an
investment group led by him has raised its
stakes in Dexter Corp to 7.7%. Dexter is
fighting off a hostile bid from International
Specialty Products.
- OPEC,
the oil cartel, announced from Vienna that,
its member have agreed to increase oil production
by 700,000 barrels a day.
